Article 11. REVOCATION  


1.

Grounds for Revocation. In addition to any rights set out elsewhere in this Franchise, Grantor reserves the right to revoke this Franchise, and all rights and privileges pertaining thereto, in the event that:

A.

Grantee substantially violates any provision of this Franchise; or

B.

Grantee attempts to evade any of the provisions of this Franchise; or

C.

Grantee practices an act of fraud or deceit upon the Grantor; or

D.

Grantee becomes insolvent, unable or unwilling to pay its debts, or is adjudged bankrupt.

2.

Procedure.

A.

In determining whether there are grounds for revocation of this Franchise, Grantor shall follow the same procedures set forth in section 10.3A through C of this Franchise.

B.

Grantee shall be provided the right to a public hearing before Grantor.

C.

Upon termination, Grantee shall have a period of thirty (30) days subsequent to the date of the public hearing at which termination of the Franchise is considered, within which to file an appeal with a court of competent jurisdiction.

D.

During the appeal period, the Franchise shall remain in full force and effect.
